All the Website Standard Terms and Conditions mentioned on this page shall govern the use of this website, the content within, and the product we offer. These terms and conditions are applicable in full force and take control of how you can use this website and our product.

The terms “we”, “us”, “our”, “WPRio” refers to us at WPRio and the products we are offering you. Similarly, terms like “users”, “you”, “your” refer to all our users and visitors surfing the website or using a product.

You must not use this website if you have any objection to any of the Website Standard Terms and Conditions listed on this page.

Product Licensing

All WPRio products unless otherwise stated are licensed under the GNU General Public License (https://www.gnu.org/licenses/gpl.html) version 2.0 or later.

Warranty

Product sold and distributed by WPRio are done so in the hope that they will be useful, but WITHOUT ANY WARRANTY; without even the implied warranty of MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE.

Inasmuch as WordPress functions correctly on a clean install of itself, WPRio products are guaranteed to function on a clean install of the minimum, stable, and required version of WordPress for WPRio products. Because the number and variety of plugins are vast and wide, we do not guarantee that the plugin will function with all third-party plugins, themes, or browsers of any kind. We do not assume responsibility and will not be held responsible for any conflicts or compatibility issues that may occur due to third-party software. We assume no responsibility for any data loss as a result of installing or using WPRio products. Should conflicts occur with third-party software, we may provide support at our discretion. Additionally, we are not liable and will not be held responsible for any personal loss, site damage, site errors, theft, fraud, loss of profits or revenue, loss of business or opportunities, or loss of customers or clients as a result of installing or using WPRio products. We are not liable and will not be held responsible for updates to WordPress or any other 3rd party plugin/theme or component that cause certain functionality to stop working within our products.

Support

WPRio sells and distributes WPRio’s products “as is” and with no implied meaning that they will function exactly as you would like, or that they will be compatible with third-party components and plugins.

When you purchase a Subscription Plan that includes certain support Services for the Software only, we will provide you (the Subscription owner and not the actual payer or the professionals working on your site) with support according to that specific plan.

Support for products sold and distributed by WPrio is only available for those who have an active, paid license.

Support and updates are granted for one year after the original purchase or lifetime , based on the license you have purchased. For one year licenses, after one year is completed, the purchaser must renew their license in order to continue receiving support and updates for the items purchased. For purchases that include an automatically renewing subscription, support will be provided for as long as the subscription remains active. The exception to this is Lifetime Licenses which are a one-time charge of the published Lifetime License price (for the applicable product) at the time of purchase. Lifetime Licenses do not need to be renewed and are considered “lifetime” and grant the license-holder to updates for the “lifetime” that the purchaser uses the product, or for as long as the product is being actively sold and developed. Support is granted for one year after the original purchase for a lifetime deal too. Users can purchase additional support as long as they want.

Support and updates for WPRio products are provided as long as WPRio is actively in development. Should any one of the following occur, WPRio will no longer be responsible for providing support for WPRio products:

  • Any product no longer actively developed as a viable product under WPRio.
  • WPRio or the parent company is purchased or bought out by another company.
  • WordPress is no longer actively developed.

Whilst we attempt to provide the best support possible for our products we do not guarantee that any particular support query can, or will be answered to the extent, or within a timeframe that the inquirer is completely satisfied.

Payments & Subscriptions

For all the services and products offered by WPRio, you will have to pay the specified fees as published on the respective websites from time to time. The payments shall be made via our third party service providers and subject to their respective terms of service and privacy policies.

WPRio may from time to time determine or update the pricing for particular products and services. We may offer discounts, or run other promotions. Please check the respective product page before buying.

WPRio’s products are sold as an automatically recurring subscription unless otherwise indicated.

An automatically recurring subscription charge will apply each year on the anniversary of the purchase date. License subscriptions will automatically renew at the end of the annual license term unless the purchaser cancels their subscription prior to the automatic renewal date.

Please note the following details-

  • Subscription renewals are automatically processed annually on your original purchase date. The license renewal will continue and remain valid for each one (1) year unless the subscription is canceled prior to the renewal date.
  • You may cancel your subscription at any time. If you choose to cancel your subscription you will no longer receive updates and support for the product when your license expires.
  • The renewal price will be the full plugin price as published at the time of initial purchase, exclusive of any discounts.
  • If you choose to renew your subscription after it has been canceled and your license has expired, you will be charged the current listed price for your license.
  • We cannot grant refunds on renewal payments.

The exception to this subscription agreement is the Lifetime license which is a one-time charge of the published Lifetime license price. Lifetime subscription support is granted for one year. After one year users can purchase additional support as long as they want.

License Usage

WPRio grants each customer a non-transferable license to use the software for internal use, and as defined by the terms set in the customer’s chosen license package.

Where the license package allows the software to be used on multiple sites the customer/license-holder may not on-sell the originally-purchased license key provided by WPRio, to other users of the license (such as clients) for commercial benefit. Additionally, the customer may not sublicense, to any person or entity, any rights to distribute the software or license key. If a license key (or products) is being resold or redistributed, the license key will be deactivated without warning and without a refund. WPRio will only provide support services to the original customer/license-holder with a legitimate license key, and consider any other uses of this license key for support queries as fraudulent. A valid license key (with available activations) is necessary to use most of our products, as well as receive updates and support.

Plugin Delivery

After we have processed your payment successfully, you will receive an email with your order number and other purchase information. Your license key is available in your account area along with downloads. You can download the plugin by logging into the account created for you when purchasing the plugin and clicking on the appropriate link.

Should you not receive an email containing your information, you can contact us through new to request your purchase information.

Access to re-download purchased files will be granted so long as your license key is valid. If a license key expires or is refunded, download access to the associated files will be discontinued until such time as the license key is renewed.

Ownership

All products are property of WPRio. Claiming any type of intellectual or exclusive ownership rights of our products is strictly prohibited.

Our plugins are provided “as is” without warranty of any kind, expressed or implied. We shall not be liable for any damages, including but not limited to, direct, indirect, special, incidental, or consequential damages or losses that occur due to the use or inability to use our plugins.

Accounts and Eligibility

You are solely responsible for all actions performed in the Services with your credentials, including your username and password. Keeping your password safe is your sole responsibility. If you have any reason to suspect that your account was compromised or that there was unauthorized access to your account, you must immediately notify us, and we may work together to fix the issue.

  • It is our policy to have one account for one person, and one person for one account.
  • You cannot hold more than one account, and you cannot allow others to access your account.
  • If you are a corporation (or using the account on behalf of a corporation), then you can allow access to your corporate account for one authorized employee on your behalf.
  • You cannot sell, rent, share or transfer your access to our website.
  • You are strictly prohibited from sharing your account details with any third parties.

Account Ownership

We will consider the owner of the account as the person or entity who has access to the e-mail address of the account created that we have in our records and not the person or entity who paid for the account. In case it is a corporate entity, then the corporate entity specified in the registration page.

Having said that, we shall have the right to determine who is the owner of the account at our sole discretion in situations where we believe there is a special justification for such a determination.

Eligibility and Identification

When registering for the Services, we may authenticate your identity through different third-party services and may require additional identification.

You are eligible to enter into this agreement and:

  • You were not prohibited by any law, judicial act or a competent authority to enter into an agreement.
  • You are an adult, or you have gained adequate consent from your parents / legal guardians to enter into this agreement.
  • You were not previously prohibited by WPRio to enter into an agreement like this.
  • You are not a resident of any prohibited state and you are not a member of any terror organization.
  • If you are working on behalf of an organization, you hold all necessary permits to enter into an agreement.

Billing Information

To subscribe and make payments, you must provide accurate, complete, and up-to-date billing information. This may include details such as name, billing address, and payment methods. You are responsible for ensuring the confidentiality of your billing information and must promptly update any changes to avoid disruptions to the subscription service. Inaccurate or outdated billing information may result in payment issues and potential suspension of access to the Services.

Website & Plugin Content

All content found on this site and throughout the plugin including images, documentation, support queries, and any other information is property of WPRio and may not be redistributed without permission or consent.

Price Changes

WPRio reserves the right to modify, change, cancel or upgrade product subscription and/or license key without prior notice or consent. Prices of all products are subject to change without prior notice or consent.

Email

WPRio may occasionally send you emails related to the purchase of product(s) from our company. We may also send you occasional email newsletters relating to WPRio’s updates, promotions, extensions, and the like. We will never sell or release your email to any third party vendors. You may opt-out of these emails at any time without penalty.

License Agreement

By purchasing our product(s), you indicate and consent that you have read and agree to the Terms & Conditions listed and detailed on this page. We reserve the right to change or modify the current Terms and Conditions without prior notice or consent.

Severability

If any part of this agreement is declared unenforceable or invalid, all remaining clauses in this agreement shall remain binding on the customer.

Website and Services

While our Software is licensed under GPLv3, we own all Intellectual Property Rights relating to the Services. This applies, without limitation, to any underlying data, platforms, algorithms, technology, design, UI, any information, services, texts, files, charts, graphs, photos, sounds, videos, fonts, graphics, organization, structure, section assembly and arrangement thereof (including without limitation “look and feel”), features, and any modifications, enhancements and derivatives thereof and all other Intellectual Property Rights related thereto.

We also retain the ownership and full Intellectual Property Rights to the source code of the wprio.com website, apart from where we specifically use third-party software.

Please be advised that apart from where we specifically granted you a right to do so, all Intellectual Property Rights relating to the Services reside with us.

For the purpose of these Terms, “Intellectual Property Rights” means worldwide, whether registered or not (a) rights associated with works of authorship, designs, mask works and photography including copyrights; (b) trademarks, service marks, domain names, logos, trade names, trade dress, the right to publicity and goodwill rights; (c) patents, patent applications and industrial designs; (d) trade secrets; (e) rights analogous to those set forth herein and any other proprietary rights relating to intangible property; (f) divisions, continuations, renewals, reissues and extensions of the foregoing (as applicable) now existing or hereafter filed, issued, or acquired.

Usage

This is a list of “don’ts” it is not exhaustive, and we may also find that other non-bona-fide activities constitute as non-acceptable use.

  • Don’t allow others to use your account or license, by means of sale, license, lease assign, transfer, pledge, or any other activity that may be considered as sharing or conveying ownership in your account.
  • Don’t copy or scrape our website, and don’t replicate its functionality. Meaning, don’t imitate our API calls to servers, don’t use an Iframe to reproduce our Services, don’t use a subdomain to redirect to our website.
  • Don’t use our website or Services where it is prohibited by law.
  • Don’t use our website or Services to conduct any illegal activity, or transmit any transmit or upload any viruses, spyware or other harmful, infringing, illegal, disruptive or destructive content or files.
  • Don’t scrape our website without our permission, don’t use automated tools to submit queries or posts, and don’t mine personal information from our website.
  • Don’t make extensive API or web calls in a manner that interrupts our hosting company or web-server.
  • Don’t reverse engineer or decompile our website, or perform any activity that might reveal sensitive information.
  • Don’t try to guess usernames or passwords, or otherwise circumvent or attempt to penetrate or circumvent any technical restrictions or limitations in the Services or website.
  • Don’t resell our Services; meaning don’t offer others access to your product keys, or any other enabling methods, such as account credentials or activation codes.   Don’t directly call files from our servers in your themes or products.
  • Don’t remove our legal notices or names from the Services.

Abusive Customers

We believe that our customers have every right to be heard, understood and respected. Having said that, we also believe that our staff have every right to work in a safe environment, free from any abuse or harm caused by others. Therefore, we will not accept any abusive or aggressive behaviour towards our staff. Abusive or aggressive behaviour includes language (whether verbal or written) that may cause our staff to feel threatened or abused and may include threats, personal verbal abuse, derogatory remarks and rudeness. Unacceptable behaviour as described above may cause us to decide to, by our sole discretion:

  • Terminate all direct contact with such customers.
  • Take any other action that we consider appropriate to the circumstances, including (but not limited to) termination of your subscription, banning you from our services, and any other action we deem necessary.

YOU AGREE THAT YOUR USE OF THE SERVICES SHALL BE AT YOUR OWN RISK.

THE SERVICES ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT THESE SERVICES OR THE SERVER(S) THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
